When one is considered an affiliate?

  • Own 10% or more of common equity inclusive of all activities on primary and secondary market, or receiving securities by transfer.
  • Be designated as an affiliate by the Issuer of securities. 
    Issuers can designate an investor as an affiliate in the Cap Table.

    Please note that designating a portfolio or an investor as an affiliate will result in restrictions placed on ability to engage in the secondary market transactions. For more details on these restrictions, please see Rule 144: Selling Restricted and Control Securities.
