How do I designate an investor as an affiliate?

  • Navigate to My Business > Cap Table by investor and click the “…” icon next to the Investor.
  • In the Fund Info dialog, click the Affiliate fund ON/OFF switch and provide your account password.

The Affiliate status happens when the Investor holds 10% or greater of the total outstanding shares. The Affiliate status is designated and shown per each security in the Cap Table. 

 

To designate an Investor as an Affiliate:

  • Navigate to My Business > Cap Table by investor, locate the Investor and click the “…” icon next to it.
  • In the Fund Info dialog that appears, click the Affiliate fund ON/OFF switch and confirm your intention by providing the account password. 

The letter “A” appears next to the affiliate’s name in the Cap Table. 

 

Who can get the affiliate status?

An accredited or previously non-affiliated investor (in case of transferring securities). 

 

10% or more of outstanding shares

[Total outstanding shares] = [Total number of common shares issued prior to the Offering] + [Total number of common shares issued after issuance 1] + … + [Total number of common shares issued after issuance N]

Total outstanding shares are re-calculated only after new securities have been issued. Therefore, the Affiliate status of all securities holders is re-considered only after new securities have been issued. That affects the Affiliate statuses for all securities holders.
