Trade clearance and issuer acceptance of trades

In addition to being subject to sale restrictions of Rule 144, the stock held by the seller will be subject to acceptance by the issuer of the securities. All agreed trades will be presented to the issuer of the securities and require their acceptance. If the issuer does not accept a valid trade, Seller and Buyer may take appropriate actions to ensure that the issuer does not unduly block legal transfer of securities.
