Restricted securities and secondary market

The Platform supports listing of Private Placement Securities only – these securities are not registered with SEC and are not available for resale in a broader public market. All securities that are acquired in a private placement will be restricted securities – you will see RESTRICTED label next to every security on your holdings page for a certain period of time. This restriction is primarily meant to regulate the manner of secondary resale and trading. However, there are several available exemptions for investors to resell restricted securities acquired through a private placement.

 

One of the mechanisms available for resale is Rule 144. The Platform provides a mechanism to resell your securities in the secondary market in accordance with this Rule 144. This rule provides a set of specific conditions that must be met for the sale of securities in the secondary market.
